These terms cover how you use this website and the basis on which we accept project work. They sit alongside any signed proposal or statement of work — which controls where the two overlap.
These terms apply to anyone who visits this website or engages Desk of MJ Ltd (the studio) for design, development, or marketing services. By using the site or commissioning a project, you agree to these terms.
The studio provides brand strategy, web design, web development, and marketing services. The specific scope, deliverables, timeline, and fees for any engagement are documented in a separate proposal or statement of work, which takes precedence over this page where it covers the same topic.
When you engage us on a project, you agree to provide timely access to the assets, accounts, and information we need to do the work. You also confirm that any content you supply (logos, photography, copy, third-party materials) is yours to use or licensed appropriately.
You're responsible for reviewing deliverables within the windows we agree at the start of the project. Extended delays in feedback can shift the timeline and may incur additional fees.
Project fees, milestones, and payment terms are set in the proposal you sign. Invoices are due within the window stated on each invoice (typically 7 to 14 days). Late payments may pause active work and accrue interest at the rate permitted by law in your jurisdiction.
Retainer engagements bill monthly in advance. Unused hours don't roll over unless we agree otherwise in writing.
On full payment of all fees due for a project, you receive ownership of the final deliverables produced specifically for you — for example, the visual identity, copy, and code we deliver. Any pre-existing or third-party assets (typefaces, libraries, stock photography, plugins) remain subject to their original licences.
Until final payment is received, ownership of the work-in-progress remains with the studio. We retain the right to display the completed work in our portfolio, case studies, and marketing materials unless we agree in writing not to.
We treat any non-public information you share with us during a project as confidential. We won't share it with third parties except where strictly necessary to deliver the work, or where required by law. The same applies in reverse to any information you receive from us.
We deliver our work with reasonable care and skill, but we don't warrant that it will be free from all defects, errors, or interruptions. To the maximum extent permitted by law, our total liability arising out of or in connection with a project is limited to the fees you have paid us for that project in the twelve months preceding the claim.
We're not liable for indirect, incidental, or consequential damages, including loss of revenue, profit, data, or business opportunity.
Either party may end a project early by giving written notice. If you terminate before completion, you remain responsible for fees covering the work performed up to the termination date, including any non-refundable costs we've committed to on your behalf.
These terms are governed by the laws of England and Wales. Any disputes that cannot be resolved between us will be subject to the exclusive jurisdiction of the English courts.
We may update these terms from time to time. The current version is always the one published on this page, dated above. Continued use of the site or services after an update means you accept the revised terms.
